Legal Agreements
**DOMAIN NAME REGISTRATION, RENEWAL, TRANSFER AND MANAGEMENT AGREEMENT** This Domain Name Registration, Renewal, Transfer and Management Agreement (“Agreement”) is entered into between: **Service Provider:** Blue Rock Technosoft, operating through https://www.bluerock.co.in, having its business address at Shop No. 7, Chetna Tower, Near Zambad Estate, New Shreya Nagar, Chhatrapati Sambhajinagar, Maharashtra, India (hereinafter referred to as “BlueRock” or the “Service Provider”); AND **Customer:** The individual, company, partnership, organization or other legal entity identified in the applicable order, invoice, registration request or customer account (hereinafter referred to as the “Customer”). This Agreement shall take effect on the date of electronic acceptance, written acceptance, order confirmation or commencement of the relevant domain service, whichever is applicable under the accepted order. BlueRock and the Customer may individually be referred to as a “Party” and collectively as the “Parties”. ### 1. PURPOSE AND SCOPE 1.1. This Agreement governs the domain name services requested by the Customer from BlueRock, including: a. Domain name registration; b. Domain name renewal and restoration assistance; c. Domain name transfer-in and transfer-out assistance; d. Domain name management and configuration; e. Registrant contact and registration-data updates; f. DNS, nameserver and related domain settings, where included in the order; g. Privacy or proxy services, where available and separately enabled; and h. Other domain-related services expressly accepted by BlueRock. 1.2. Services may be delivered through a sponsoring registrar, upstream reseller, registry operator, technology provider or other authorized service provider (“Upstream Provider”). 1.3. The applicable registry rules, registrar terms, registration policies, dispute-resolution policies and technical requirements shall apply to the relevant domain extension. The Customer agrees to comply with those requirements as applicable to the requested service. 1.4. This Agreement supplements the Customer Master Agreement, accepted order, invoice, service-specific conditions and applicable policies incorporated by reference. In the event of inconsistency, mandatory law and applicable registry or registrar requirements shall prevail to the extent required. The remaining contractual provisions shall continue to apply. ### 2. DEFINITIONS 2.1. **Domain Name:** The internet domain name requested, registered, transferred, renewed or managed under a Customer order. 2.2. **TLD:** A top-level domain, including country-code, generic, internationalized and other domain extensions supported by the relevant provider. 2.3. **Registrant:** The individual or legal entity recorded as the registered name holder in the applicable registrar or registry records. 2.4. **Registrar:** The registrar sponsoring the domain registration in the applicable registry. 2.5. **Registry Operator:** The entity responsible for operating the registry for a particular TLD. 2.6. **Domain Order:** A registration, renewal, transfer, management or other domain-related order accepted by BlueRock. 2.7. **Registration Data:** The registrant's name, organization, contact information and other data required by the applicable registrar or registry. 2.8. **Domain Account:** The customer account or registrar account through which a domain registration or its settings are administered. 2.9. **Domain Dispute:** A complaint, challenge, proceeding, allegation or claim relating to a domain's registration, ownership, use, transfer or associated rights. 2.10. **Applicable Policies:** The laws, registry policies, registrar terms, ICANN policies where applicable, NIXI policies where applicable, dispute-resolution rules and other binding requirements governing the relevant domain. ### 3. CUSTOMER REPRESENTATIONS AND RESPONSIBILITIES 3.1. The Customer represents and warrants that: a. The information supplied for every Domain Order is accurate, complete and current; b. The Customer is authorized to request the service and to provide the information and instructions submitted with the order; c. The proposed domain registration and use are not knowingly unlawful and, to the Customer's knowledge, do not unlawfully infringe another party's rights; d. The Customer will not use a domain for fraud, phishing, malware distribution, unlawful impersonation, spam or other prohibited activity; e. The Customer will comply with applicable laws and Applicable Policies; and f. The Customer will promptly respond to reasonable verification requests and maintain access to a valid registrant contact email address. 3.2. Where the Customer orders a domain on behalf of another person or organization, the Customer must obtain that party's authorization and ensure that the actual Registrant receives and accepts the applicable registration terms. 3.3. The Customer is responsible for selecting a domain name and checking relevant trademark, company-name, intellectual-property and other legal risks. Availability at the time of ordering does not guarantee that the name is legally available for every intended use. 3.4. The Customer shall not submit fabricated documents, impersonate a registrant, misrepresent beneficial ownership or make unauthorized changes to registration data. 3.5. The Customer shall promptly notify BlueRock of material changes to registrant details, contact information, business identity or authorization. 3.6. The Customer shall keep its account credentials, email accounts, authentication factors and domain-management access secure. The Customer must promptly report suspected unauthorized access or changes. ### 4. REGISTRATION AND ORDER ACCEPTANCE 4.1. A registration request is subject to availability, payment, successful processing and acceptance by the relevant Upstream Provider and registry. 4.2. A quotation, search result, cart entry or payment initiation does not itself guarantee registration or ownership of a domain. 4.3. Registration is considered completed when the relevant registrar or registry confirms successful creation of the registration, subject to any additional confirmation specified in the order. 4.4. If a registration cannot be completed, BlueRock may cancel the unfulfilled order and refund the amount paid for that unfulfilled registration, subject to applicable law and any clearly disclosed third-party charges that were actually incurred and are lawfully non-refundable. 4.5. Domain names are allocated according to the relevant registry's rules. BlueRock does not guarantee that a requested name will remain available until processing is complete. 4.6. Certain TLDs may require eligibility checks, supporting documents, local-presence requirements, registration restrictions, additional declarations or manual registry approval. The Customer must provide the required information within the stated deadline. ### 5. REGISTRANT IDENTITY AND REGISTRATION DATA 5.1. Unless a lawful and expressly agreed alternative arrangement applies, the Customer shall ensure that the actual intended domain holder is accurately identified as the Registrant. 5.2. BlueRock may transmit, process and update Registration Data as reasonably necessary to provide the service, comply with applicable law and meet registrar or registry requirements. 5.3. The Customer authorizes BlueRock to submit registration and verification information to the relevant Upstream Provider and registry for the requested service. 5.4. BlueRock may request documents or additional information to verify identity, authority, eligibility, account control or the authenticity of an instruction. 5.5. Where information is missing, materially inconsistent or reasonably suspected to be fraudulent, BlueRock may place the affected order on hold, request correction or escalate the matter to the relevant provider. Any suspension, restriction or cancellation must be consistent with applicable law, the relevant provider's authority and Applicable Policies. 5.6. For a .IN or .Bharat domain, the Customer must comply with applicable .IN Registry requirements, including any applicable registrant verification, KYC, documentary evidence or eligibility procedure. 5.7. The Customer acknowledges that a registry or registrar may reject, suspend, restrict or cancel a registration if the required information or verification is not completed. BlueRock shall communicate material verification requirements and deadlines when such information is made available to it. ### 6. FEES, PAYMENTS AND TAXES 6.1. The Customer shall pay registration, renewal, transfer, restoration, privacy, management and other applicable fees stated in the accepted quotation, order or invoice. 6.2. Unless otherwise agreed in writing, payment must be received before BlueRock submits or completes a paid transaction with the Upstream Provider. 6.3. Applicable taxes, including GST where legally chargeable, shall be payable in addition to the stated price unless expressly included. 6.4. The Customer is responsible for ensuring that payments are made by the relevant due dates. BlueRock may issue reminders through the registered email address, telephone number, messaging service or customer account. 6.5. If an invoice remains unpaid, BlueRock may suspend unpaid ancillary services, decline further unprocessed orders, restrict new discretionary work or pursue lawful recovery of outstanding amounts, subject to applicable law and the terms of the affected service. 6.6. An unpaid invoice does not, by itself, transfer ownership of a domain to BlueRock or authorize BlueRock to represent itself as the Registrant. 6.7. Any domain-specific restriction for non-payment may be imposed only where the relevant registrar or registry rules permit it and the restriction is properly implemented by the authorized party. BlueRock shall not assert a power to place a registry-level hold that it does not possess. 6.8. The Customer remains liable for renewal or restoration charges expressly accepted by the Customer and properly incurred for the relevant domain. BlueRock may seek recovery of legitimate outstanding contractual dues through lawful means. 6.9. Refunds are governed by the accepted order, applicable provider rules and law. Completed registration, renewal and transfer transactions may be non-refundable where the applicable terms lawfully provide so. BlueRock shall not represent every domain transaction as automatically refundable or automatically non-refundable. ### 7. RENEWAL, EXPIRY AND RESTORATION 7.1. Domain registrations are time-limited. The Customer is responsible for ensuring that the domain is renewed before expiry unless an express written renewal-management arrangement states otherwise. 7.2. BlueRock may send renewal reminders as a courtesy. Unless a written service commitment expressly provides otherwise, reminders are not a guarantee of delivery or a substitute for the Customer's own renewal monitoring. 7.3. The Customer must maintain a valid contact email address and monitor renewal notices, invoices, verification requests and account notifications. 7.4. A domain may expire, stop resolving, enter a grace period, enter a redemption or restoration period, become available for registration by another party or be deleted according to the relevant TLD's policies. 7.5. Renewal is complete only when the relevant registrar or registry confirms successful renewal. Payment made to BlueRock close to or after the deadline may not guarantee successful renewal if the registry deadline has passed or the provider cannot process the transaction in time. 7.6. After expiry, restoration may require additional charges, special procedures or registry approval. Restoration is not guaranteed. 7.7. BlueRock is not responsible for expiry caused by the Customer's failure to pay, failure to provide required information, failure to maintain contact details or failure to respond to notices, except to the extent that the loss was caused by BlueRock's own breach of an expressly accepted service obligation or other liability imposed by law. 7.8. If BlueRock expressly accepts a paid automatic-renewal or managed-renewal service, the applicable order shall specify its scope, payment requirements and operational limitations. ### 8. DOMAIN MANAGEMENT AND CHANGE AUTHORISATION 8.1. BlueRock may process domain-management instructions submitted through the Customer's authenticated account, verified registered email address, accepted authorization method or other documented channel agreed by the Parties. 8.2. BlueRock may request additional verification before processing sensitive actions, including registrant changes, domain transfers, nameserver changes, account recovery, disabling a transfer lock or issuing an authorization code. 8.3. BlueRock shall not knowingly change Registrant information without appropriate authority from the Registrant or another person legally authorized to act for the Registrant. 8.4. The Customer is responsible for reviewing change confirmations, transfer notifications, DNS settings and other material account notices and promptly reporting unauthorized activity. 8.5. BlueRock may decline or temporarily pause an instruction where it reasonably suspects fraud, conflicting instructions, compromised credentials, a lack of authority or a breach of Applicable Policies. The pause shall be proportionate, reviewed promptly and limited to what is reasonably necessary to verify the instruction or comply with a binding restriction. 8.6. BlueRock may retain appropriate order records, confirmations and communications as evidence of instructions, transactions and compliance, subject to applicable privacy and retention requirements. ### 9. DOMAIN TRANSFERS 9.1. The Customer may request a transfer-in or transfer-out, subject to the relevant TLD's rules, the registrar's process, applicable transfer restrictions and completion of required authorization. 9.2. Where the Customer is the Registrant, the Customer's valid authorization is required for a transfer wherever required by Applicable Policies. BlueRock shall not treat a transfer request from an unauthorized third party as sufficient authority. 9.3. The Customer must supply correct transfer information, required authorization codes and verification responses within the applicable timeframe. 9.4. A transfer may be delayed or rejected where permitted by applicable rules, including where the domain is subject to a valid transfer restriction, pending dispute, court order, fraud concern, unresolved identity issue or other recognized policy ground. 9.5. BlueRock may assist the Customer in obtaining transfer information and completing the relevant process but cannot guarantee the approval, timing or completion of a transfer by another registrar or registry. 9.6. BlueRock shall not impose a blanket prohibition on a lawful transfer merely because the Customer wishes to move to another provider. Any transfer restriction must have a valid basis under Applicable Policies, law or a properly authorized security setting. 9.7. Any change of Registrant and any inter-registrar transfer shall be processed according to the rules applicable to that specific transaction. The Customer is responsible for reviewing any disclosed transfer lock or change-of-Registrant consequence before submitting a request. 9.8. If a transfer request raises a genuine question of authority or conflicts with a binding order, BlueRock may refer the matter to the sponsoring registrar or other competent authority and preserve relevant records pending clarification. ### 10. DOMAIN DISPUTES, COMPLAINTS AND ABUSE REPORTS 10.1. The Customer is responsible for ensuring that registration and use of the domain do not unlawfully infringe another person's rights and do not violate applicable law or registry policies. 10.2. If BlueRock receives a trademark complaint, abuse report, law-enforcement request, registrar compliance notice, registry notice, court order, arbitration notice or other credible dispute-related communication, BlueRock may take reasonable steps to verify the notice and forward it to the Customer where permitted. 10.3. The Customer shall cooperate promptly with legitimate requests for information and provide relevant documents or explanations within the stated deadline. 10.4. BlueRock may refer a complaint to the sponsoring registrar, registry operator, relevant dispute-resolution provider or competent authority. The Customer acknowledges that the sponsoring registrar or registry may have powers or obligations that BlueRock does not independently control. 10.5. Where required or permitted by applicable law, a binding order or Applicable Policies, the relevant authorized provider may lock, suspend, restrict, cancel or transfer a domain, or take other specified action. BlueRock shall implement or communicate such action only to the extent authorized or required and shall not claim unrestricted independent power to determine ownership. 10.6. Where practicable and lawful, BlueRock shall notify the Customer of a material restriction and its general basis. Notice may be delayed or withheld where prohibited by law, restricted by a competent authority or reasonably necessary to prevent fraud, abuse or interference with an investigation. 10.7. Where a complaint is disputed, the Customer should submit its response and supporting documents through the procedure specified by the registrar, registry or dispute-resolution body. BlueRock does not act as a court, arbitrator or final decision-maker on competing ownership claims. 10.8. A domain name shall not be transferred to BlueRock or another party merely because a complaint has been received. Any transfer, cancellation or ownership change must be supported by valid registrant authorization, a binding order, an applicable dispute-resolution decision or another lawful basis recognized by the relevant provider's policies. 10.9. For .IN and .Bharat domains, disputes may be governed by the applicable .IN Domain Name Dispute Resolution Policy (INDRP) and its Rules of Procedure. For other domains, the relevant TLD's applicable dispute policy shall apply. 10.10. BlueRock may preserve relevant records and cooperate with lawful investigations or proceedings. Any disclosure of Customer information shall be subject to applicable law, valid authority and relevant privacy obligations. ### 11. SECURITY, FRAUD AND UNAUTHORISED ACTIVITY 11.1. The Customer shall not use domain services to conduct or facilitate phishing, malware distribution, fraudulent impersonation, unlawful data collection, spam or other prohibited activity. 11.2. Where BlueRock reasonably suspects account compromise, identity fraud, unauthorized changes or a material security threat, it may take proportionate steps within its control to protect the account, request additional verification or seek assistance from the sponsoring registrar. 11.3. Any security restriction must be limited to what is reasonably necessary, consistent with Applicable Policies and reviewed when sufficient verification is received. 11.4. BlueRock shall not knowingly use a security procedure to appropriate a Customer's domain or prevent a lawful transfer for an improper purpose. 11.5. The Customer must promptly notify BlueRock of suspected compromise and cooperate with reasonable remediation steps. ### 12. PRIVACY, PROXY AND CONTACT-MASKING SERVICES 12.1. Where offered for a particular TLD, a privacy or proxy service may limit the display of certain contact details in public registration-data results. 12.2. Privacy protection does not remove the Customer's obligation to provide accurate information to BlueRock, the sponsoring registrar or the registry where required. 12.3. Privacy or proxy services are subject to availability, applicable law and the relevant provider's terms. A service may be unavailable, restricted or discontinued where permitted by those terms or required by law. 12.4. The Customer acknowledges that messages relayed through a privacy service may be delayed, filtered or undelivered. Where the provider does not guarantee delivery, BlueRock does not guarantee that a third-party message will reach the Registrant. 12.5. Where a complaint, legal requirement or other permitted ground requires disclosure or disabling of privacy protection, the relevant authorized provider may act in accordance with Applicable Policies and law. 12.6. Any indemnity related to privacy services is subject to Section 16 and shall not extend to loss caused by BlueRock's own fraud, willful misconduct or liability that cannot lawfully be excluded. ### 13. UPSTREAM PROVIDERS AND SERVICE LIMITATIONS 13.1. BlueRock may use authorized registrars, registries and technical providers to fulfil domain orders. 13.2. The Customer acknowledges that certain operations depend on systems, approvals, policies and processing times outside BlueRock's direct control. 13.3. BlueRock does not guarantee uninterrupted access to registrar or registry systems, immediate propagation of DNS changes, availability of a particular domain, approval of an application or acceptance of a transfer. 13.4. BlueRock shall take reasonable steps to submit valid instructions, communicate material issues known to it and follow up on transactions within its accepted scope of responsibility. 13.5. Nothing in this Agreement excludes any non-excludable obligation imposed on BlueRock by applicable law or any express service commitment accepted in writing. ### 14. SUSPENSION, RESTRICTION AND TERMINATION 14.1. BlueRock may suspend or terminate the affected service, to the extent permitted by law and Applicable Policies, where: a. The Customer materially breaches this Agreement and fails to remedy the breach within a reasonable period after notice, where notice and an opportunity to remedy are appropriate; b. The Customer provides materially false, misleading or fraudulent information; c. The Customer fails to complete mandatory verification after being given the applicable instructions and reasonable opportunity; d. The relevant registrar or registry directs or requires the action; e. A competent court, regulator or authorized authority issues a binding instruction; f. The service is used for unlawful activity or a material security or abuse risk; or g. Continued performance is prohibited by law or becomes impossible because the relevant provider withdraws or discontinues the service. 14.2. Where immediate action is reasonably necessary to comply with law, a binding order or a serious security threat, BlueRock may act without prior notice to the extent permitted or required, with subsequent notice where lawful and practicable. 14.3. Where practicable, BlueRock shall identify the affected service, the general reason for the action and the steps reasonably available to resolve the issue. 14.4. Termination of hosting, email, website management or another ancillary service does not automatically terminate or transfer the Customer's domain registration. Each service shall be treated according to its own contract and applicable rules. 14.5. On termination, the Customer remains responsible for accrued fees and obligations that survive termination. Any domain transfer, renewal, cancellation or continued management shall be handled under the relevant service terms and Applicable Policies. 14.6. Nothing in this Agreement grants BlueRock a right to take ownership of a domain solely because the Customer has unpaid debts, has stopped using hosting or has terminated another service. ### 15. WARRANTIES AND LIMITATION OF LIABILITY 15.1. BlueRock will exercise reasonable care in performing the services expressly accepted in the applicable order. 15.2. To the extent permitted by law, BlueRock is not responsible for losses caused solely by a registry, registrar, upstream provider, internet service provider or other third party acting outside BlueRock's reasonable control, provided BlueRock has not caused or materially contributed to the loss through its own breach of an applicable obligation. 15.3. To the extent permitted by law, BlueRock shall not be liable for indirect or consequential losses, loss of anticipated profits, loss of business opportunity or loss of goodwill arising from a domain service, except where such exclusion is prohibited by law or the loss results from liability that cannot lawfully be excluded. 15.4. Subject to applicable law, BlueRock's aggregate liability for a claim arising from a particular domain service shall not exceed the fees actually paid to BlueRock for that specific domain service during the twelve (12) months preceding the event giving rise to the claim. 15.5. The limitations in this Section do not exclude or restrict liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited. They do not override any mandatory consumer protection or other statutory rights. 15.6. The Customer should maintain independent backups of website content, DNS configuration and other business-critical data. Domain registration alone does not include website hosting, email hosting, backup or recovery unless those services are separately purchased. ### 16. CUSTOMER INDEMNITY 16.1. To the extent permitted by law, the Customer shall indemnify BlueRock against third-party claims, liabilities, losses and reasonable legal costs to the extent arising directly from: a. The Customer's unlawful use of a domain; b. The Customer's material breach of this Agreement or Applicable Policies; c. The Customer's provision of materially false information or unauthorized instructions; d. The Customer's infringement of third-party intellectual-property rights; or e. The Customer's failure to obtain authority to act on behalf of the Registrant. 16.2. BlueRock shall provide reasonable notice of a claim for which it seeks indemnity, where legally permitted, and shall not settle a claim in a manner that imposes an admission or non-monetary obligation on the Customer without the Customer's consent, except where required by law or a binding order. 16.3. The Customer shall not be required to indemnify BlueRock for the portion of a claim caused by BlueRock's own breach, negligence where liability cannot be excluded, fraud, willful misconduct or other non-excludable liability. ### 17. DATA PROTECTION AND RECORD RETENTION 17.1. BlueRock may collect and process Customer and Registration Data for order fulfilment, domain management, billing, verification, customer support, security, dispute handling, legal compliance and other legitimate purposes connected with the service. 17.2. Data may be shared with the relevant registrar, registry operator, payment processor, technical provider or competent authority where reasonably necessary and lawful. 17.3. Data may be processed or transferred across national borders where necessary for the service and permitted by applicable law and the relevant provider's policies. 17.4. BlueRock shall handle personal information in accordance with applicable data-protection law and its published privacy notice, as applicable. 17.5. BlueRock may retain relevant order records, payment records, authorizations, verification records and dispute communications for the period reasonably required for business, security, legal and regulatory purposes, subject to applicable retention and deletion requirements. ### 18. NOTICES AND ELECTRONIC ACCEPTANCE 18.1. Notices may be sent to the Customer's registered email address, account notification area or other contact channel agreed for the service. 18.2. The Customer is responsible for keeping contact information current and ensuring that notices can be received. 18.3. Electronic acceptance, account confirmation, verified email instructions and electronic records may be used as evidence of agreement or authorization to the extent recognized by applicable law. 18.4. The Customer should promptly notify BlueRock if an account or email address is compromised or if a notice appears to be unauthorized. ### 19. DISPUTE RESOLUTION AND GOVERNING LAW 19.1. The Parties shall first attempt in good faith to resolve contractual disputes through written communication and reasonable escalation. 19.2. If a dispute cannot be resolved informally, it shall be referred to the competent courts or dispute-resolution mechanism determined by applicable law and the relevant domain policy. 19.3. This Agreement shall be governed by the laws of India, subject to mandatory law and any mandatory jurisdiction or dispute-resolution provisions applicable to a particular TLD. 19.4. The Parties acknowledge that certain registry-specific proceedings may have exclusive or mandatory forums. For example, the .IN Registry's published dispute-resolution process specifies Delhi courts for matters governed by its applicable dispute-resolution framework. The applicable policy must be checked for the domain concerned. 19.5. Nothing in this Section prevents a Party from seeking urgent interim relief from a competent court or complying with a binding regulatory, judicial or registry direction. ### 20. GENERAL PROVISIONS 20.1. **Entire Agreement:** This Agreement, together with the accepted order and applicable incorporated service conditions, constitutes the agreement between the Parties concerning the domain services described herein. 20.2. **Amendments:** BlueRock may update this Agreement prospectively by publishing a revised version and providing notice where required. Material changes shall not retrospectively remove accrued rights or override mandatory law. 20.3. **Severability:** If any provision is found invalid or unenforceable, it shall be limited to the minimum extent necessary, and the remaining provisions shall continue to apply. 20.4. **No Waiver:** Failure to enforce a provision on one occasion does not waive the right to enforce it later. 20.5. **Assignment:** The Customer may not assign its contractual rights or delegate account authority without required authorization. Any assignment or change of Registrant remains subject to applicable law and domain policies. BlueRock may assign this Agreement as part of a lawful business restructuring or transfer of the relevant service, subject to applicable law and required notice. 20.6. **Independent Service Provider:** BlueRock's use of an Upstream Provider does not make BlueRock the registry operator or sponsoring registrar unless it separately holds that role for the relevant domain. 20.7. **Survival:** Provisions relating to payment obligations, records, indemnity, liability limitations, dispute resolution, data protection and other provisions intended by their nature to survive shall continue after termination to the extent permitted by law. 20.8. **Interpretation:** Headings are for convenience and do not affect interpretation. The singular includes the plural where appropriate. ### 21. CUSTOMER ACKNOWLEDGEMENT By accepting this Agreement, the Customer confirms that they: a. Have read and understood the terms; b. Are authorized to place the Domain Order and bind the Customer to this Agreement; c. Agree to provide accurate Registrant information and complete applicable verification; d. Understand that registration, renewal, transfer and restoration depend on the relevant provider and registry rules; e. Understand that domain ownership is not transferred to BlueRock merely because an invoice is unpaid or an ancillary service has expired; and f. Agree to comply with applicable domain policies, laws and service-specific terms.
